Commercial License Agreement

This Commercial License Agreement (the “Agreement”) is entered into between Softmotion Networks LLC (the “Licensor”) and the purchaser of any product offered by Softmotion Networks LLC (the “Licensee”) (referred to collectively as the “Parties”) as of the date of purchase.

  1. Grant of License: Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Digital Graphic purchased on lumino.one or LuminoOneArt on Etsy (the “Graphic”) for the purpose of printing and reproducing up to 1000 copies of the Graphic for commercial use in association with the products offered by Softmotion Networks LLC.
  2. Scope of Use: Licensee is authorized to use the Graphic solely for the following purposes:
  • Printing and reproducing up to 1000 copies of the Graphic for commercial use in association with the products offered by Softmotion Networks LLC.
  • Incorporating the Graphic into promotional and marketing materials, such as brochures, flyers, and advertisements, related to the products offered by Softmotion Networks LLC.
  • Displaying the Graphic on Licensee’s website and social media platforms solely for the promotion and sale of the products offered by Softmotion Networks LLC.
  1. Restrictions: Licensee shall not:
  • Modify, alter, or create derivative works of the Graphic without prior written consent from Licensor.
  • Sell, distribute, sublicense, or transfer the Graphic to any third party without prior written consent from Licensor.
  • Use the Graphic in any manner that is defamatory, obscene, or violates any applicable laws or regulations.
  • Use the Graphic in a way that implies endorsement or affiliation with Licensor, unless expressly permitted.
  1. Ownership and Copyright: The Graphic remains the intellectual property of the Licensor, and this Agreement does not transfer any ownership rights. Licensee acknowledges and agrees that all copyrights and intellectual property rights pertaining to the Graphic belong solely to the Licensor.
  2. Term and Termination: This Agreement shall commence on the date of purchase and shall remain in effect until terminated. Licensee’s acceptance of this Agreement occurs upon purchasing any product offered for commercial use by Softmotion Networks LLC. Either party may terminate this Agreement in the event of a material breach by the other party. Upon termination, Licensee shall cease all use of the Graphic and destroy any copies or reproductions in their possession.
  3. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in State of Florida, United States.

By purchasing any product offered for commercial use by Softmotion Networks LLC, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
